This organization will be known as the Cliffhangers
4 Wheel Drive Club.Section 2This club is organized as a non-profit organization
for the purpose of:
Providing social, educational and recreational
activities for its members, families, and guests.
Participating in and supporting civic activities
for the betterment of the community.
To promote the sport and pastime of four- wheel
drive travel in all its phases.
Article
II
Membership
Section 1
Club membership shall be limited to twenty-five
Full Household Memberships, and unlimited Partial Memberships.
Full Household Membership, has all voting privileges,
may hold any office in the club and PNW.
Partial Membership, will be non-voting members
in good standing, may attend any and all club and PNW functions. May not
hold any office in the club. If a Household Membership is desired they
must complete Article II Section 3.
Must have a valid driver?s license.
Own any motor driven, four-wheel drive vehicle,
said vehicle subject to acceptance of the club.
Must be eighteen years of age or older.
Membership shall include people living in
member's household. (Exceptions to the above rule may be made by the club).Section 2All applications must be in writing and
will be proposed by a member in good standing.Section 3New Full Household Memberships will be classified
as Partial Members for twelve months minimum and or completed:
Three official runs.
Six monthly meetings.
One official overnight run or one official playday.
Three Region 1 meetings and or one quarterly
delegates meeting.
Or the club can vote to waiver the Full Household
Membership requirements to be brought before the membership for voting.
Partial Memberships shall remain a Partial membership
for as long as needed until an opening in the club, at which time to be
voted on.
Section 4Acceptance for Full Household Membership
must be by secret vote of members at a regular meeting. Two-thirds members
present must vote yes for acceptance. Applicant will leave the meeting
while acceptance vote is taken. Applicant shall be notified of the results
by the officiating officer.Section 5New applicants for membership must be supplied
with a copy of the rules and regulations of the club. This is the responsibility
of the sponsoring member.Section 6Any member whose conduct is detrimental
to the purpose and standing of the club may be dismissed by the club by
a secret ballot vote with two-thirds of the members present voting yes.
Notice of such a vote must be given 30 days prior to actual vote. All members
must be notified in writing prior to the meeting.Section 7Any member who moves out of town or sells
his only four-wheel drive vehicle, may, if he wishes, receive a withdrawal
or leave of absence. All withdrawals and leave of absences are to be in
writing on a club form. Re-instatement shall be issued upon request with
no vote necessary. Dues will start at the date of re-instatement.
Withdrawal: member must be re-instated through
the Partial Membership program.
Leave of Absence: Will be under the discretion
of the club.
Sale of only four-wheel drive vehicle must be
replaced within six months.
Section 8Any member leaving this club in any way
must turn in all valid membership cards, decals and relinquish rights of
all other club properties.Section 9Duties of a Full Household Membership:
To attend meetings and club functions.
To accept final decision of the majority.
To obey the rules of the organization.
To maintain dues.
To promote the betterment of organized four-wheel
drive efforts.
Duties of Partial Members must comply with C,
D, and E of Article II, Section 9.
Section 10Medical and emergency information of all
members and their families will be kept in an emergency information Packet
and shall include:
Legal names
Current address
Phone number
Nearest relative or friend, address and phone
Doctors Name
Doctors number
Hospital preference
Insurance company (medical)
Group number
Allergies
medication being taken
Other

III
Dues
Section 1
Dues for each family unit will consist of
their yearly P.N.W.4.W.D.A. dues and club dues set forth by the club.
Full Household club dues will be $25.00 per year.
Partial membership dues will be $25.00 per year.
Section 2Dues shall be waived for any member who
enters the military service of the United States until he or she returns
to civilian life. He or she will remain on the club roster while on active
duty.Section 3The P.N.W.4.W.D.A. dues will be due and
payable by the October meeting, at which the treasurer will remind the
members present. Those that are not present at the October meeting will
be sent a written notice that their dues are delinquent, if there is no
payment by the November meeting the delinquent family unit will automatically
be dropped from the club without further notice.Section 4Club dues will be due and payable by the
May meeting, at which time the treasurer will verbally remind the members
present. Those that are not present at the May meeting will be sent a written
notice that their dues are delinquent, if there is no payment made by the
June meeting they will be charged a late fee of $2.00 a month until the
dues are made current. If there is no response by the November meeting
they will be automatically dropped from the club without further notice.Section 5There will be two membership cards issued
per family.

IV
Meetings
Section 1
The club shall hold a regular monthly meeting
each and every month. Date, time and location shall be agreed upon by a
majority vote from the club.Section 2Intoxication and/or consumption of alcohol
at any meeting will not be tolerated and is cause for dismissal upon a
majority vote by the club.Section 3A special meeting may be called by the President
or next officer in command.Section 4There will be one elective vote per membership
card present, and with the member of the card present.Section 5Order of conduct of all monthly meetings
will be according to the Roberts rules of order.

Section 6For any required delegate meeting over 100
miles, one way, the club will reimburse the delegates to be split among
them, current IRS allowable per mile reimbursement, 70.00 for lodging and
miscellaneous costs. Mileage will be figured from our meeting hall to destination.
Round trip minus 100 miles.

V
Officers
Section 1
The elective officers of this club shall
consist of a President, Vice President, Secretary, Treasurer, and 2 Delegates.Section 2At the meeting in December of each year,
the election of officers will be held. Nominations may be made from the
floor at the October meeting and December meeting. Each office will be
voted on separately.
Nominating and voting will be done in the
following order:
President

Section 3No member shall be eligible to an elective
office if he or she has been a member less than six months prior to election
night.Section 4The term of all elected officers shall begin
in January and continue for one year.Section 5No member shall hold more than one elective
office and shall not be eligible for any elective office unless he or she
is in good standing.Section 6Officers who fail to fulfill the duties
of his or her office may be removed by a two-thirds majority vote of the
members present at a regular meeting.Section 7It shall be the duty of any officer, delegate
or member of the club to appoint any member in good standing that is capable,
to assist them in carrying on the activities of his or her duties of the
club.
Article
VI
Duties of Officers
Section 1
President: It shall be the
duty of the President to preside at all meetings and club functions. The
president shall have the power to carry on the activities of the club.Section 2Vice President: The Vice President
shall assist the President at all times at meetings and club functions.
During the absence of the President, the Vice-President shall take his
place. The Vice President will take charge of all new members and visitors.
He will keep the club roll up to date.Section 3Secretary: It shall be the
duty of the Secretary to keep and preserve all records and minutes of the
meetings of the total membership. He or she shall furnish two written copies
of the minutes at each and every monthly meeting, one for the club records
and one to be presented to the President. The Secretary shall receive and
answer all general correspondence pertaining to the club. He or she shall
sign all the check with the Treasurer in the event that the Treasurer and
President are members of the same family. The Secretary shall maintain
close contact with all other officers in regards to any club business that
might pertain to one or all.Section 4Treasurer: The Treasurer shall
custody of the club funds. At each monthly meeting the Treasurer shall
submit an actual financial report showing income and expenditures of the
last period. An accurate written account will be kept of all the clubs
financial transactions. The Treasurer shall be responsible for paying the
P.N.W.4.W.D.A. dues as per article 3 section 3 and 4 of the club by-laws.
The Treasurer will prepare for an annual audit in December along with the
three quarterly audits of March, June, and September.Section 5Delegates: It shall be the
duty of the Delegates to preside at all Region One and P.N.W.4.W.D.A. quarterly
Delegates meetings to represent the total membership of the club. They
shall provide the club at each regular monthly meeting with a written and
verbal report of the events of the regional and quarterly meetings. The
Delegates shall be responsible for appointing any member in good standing
that is capable to preside at all mentioned meetings in their absence.

VII
Committees and Appointed
Positions
Section 1
All committee positions, such as Trail Master
and P.R., may be appointed or volunteer at the regular club meeting.Section 2The appointed Trail Master will perform
his or her duties as per article X, section 3 and 4 of the club by-laws.
He or she shall obtain the club packet from the secretary which contains
the duties of the position and emergency information of the club and then
return it to the secretary at the end of the trail run.

VIII
Amendments to the Club
By-laws
Section 1
Any Full Household member in good standing,
as an individual of the club, may propose a change in the constitution
and by-laws. It must be in writing, signed by the proposing Full Household
member and four other Full Household members in good standing.Section 2A written proposal to amend the by-laws
must be given to the Secretary. The Secretary will verify the wording,
make any necessary corrections and return it to the proposing Full Household
member for approval. Proposed by-laws shall be accompanied by a statement
of desire.Section 3The Full Household member proposing constitutional
or by-law changes shall have the opportunity to withdraw the proposed amendment
without any motion from the chair or the floor at any monthly meeting before
being voted upon.Section 4A proposed amendment shall be read at each
of the three consecutive meetings after it is submitted and voted upon
at the meeting of the third reading.Section 5For passage, an amendment shall require
affirmative votes from two-thirds of the voting members present on a roll
call vote at the regular monthly meeting.

IX
Insignia and Decals
Section 1
All decals and insignias shall be obtained
through the Treasurer at the going purchase rate, any Special Order items
must be paid in full prior to placement of order.Section 2Any member who wishes to return back-patches
after leaving the club, the refunded amount will be determined by the President
based on the condition of the back-patch.Section 3Proof of removal of all P.N.W.4.W.D.A. and
club decals must be given. A percentage of moneys will be refunded with
the discretion of the President.

X
Club Functions and Rules
Section 1All members of the club are subject to fines
for due reasons:
Any misconduct at the monthly meetings
Any littering while in the club presence
While in the presence of the club, any other
misconduct out of the ordinary will be dealt with accordingly by the officiating
members of the club.Section 2Club runs. All vehicles on club runs shall
be subject to a safety check by the Trail Master, whether it be member,
or guest. The Trail Master will check for the following items:
Wheels and tires
brakes
steering
windshield (visibility)
lights
seatbelts
fire extinguisher and, or bucket
ax or saw
shovel
first aid kit
And any other item that he or she feels
to be a safety factor to the club members, and guests. Item g, h, and I
are required by the forest service for travel into any state of national
forest.Section 3The Trail Master shall be duly responsible
for the club members and guests on any matter pertaining to the safety
and well being of one and all. He or she shall police matters such as private
properties, trespassing and unauthorized travel with due cause.

XI
Dissolution
Section 1
In the event of the dissolution of this
corporation all borrowed funds, equipment and tools shall be returned to
the lender.Section 2All debts shall be paid.Section 3Any assets, funds or equipment remaining
shall be donated to the U.T.H.G. (Under The Hill Gang) a corporation affiliated
with the P.N.W.4.W.D.A. for youths 16 to 20 years of age.
